2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPPORT CORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES, EVEN IF SUPPORT CORE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3. Exclusion of Consequential Damages
In no event shall Support Core be liable for any consequential, incidental, indirect, special, punitive, or other damages whatsoever, including damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss arising out of the use of or inability to use our services, even if Support Core has been advised of the possibility of such damages.
4. Force Majeure Provisions
Support Core shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Legal Framework and Dispute Resolution
1. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
You agree that any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the federal or state courts located in Travis County, Texas, and you hereby consent to the personal jurisdiction and venue of such courts.
2. Dispute Resolution Procedures
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us directly. We will work in good faith to resolve disputes through negotiation.
Arbitration Agreement:
Any dispute that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Austin, Texas. You agree to waive your right to a jury trial and to participate in a class action lawsuit.
3. Severability Clause
If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
4. Terms Modification Policy
We reserve the right to modify, amend, or update these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting to our website. Survival
Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
